1. Introduction

Welcome to Promptd, a product of Bit Complete, Inc. ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Promptd platform and services (the "Service"), so please read them carefully.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

"Content" means any text, data, information, images, prompts, or other materials that you upload, create, or otherwise make available through the Service.

"User" means any individual who accesses or uses the Service.

"Prompt" means a text-based instruction or template designed to guide AI models to generate specific outputs.

3. Account Registration and Security

To use certain features of the Service, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms or if we suspect misuse of the Service.

4. Service Description

Promptd is a platform for managing AI prompts outside the code in a distributed way, shared by teams and users. The Service allows you to create, edit, share, and manage prompts.

We may update the content and functionality of the Service from time to time. We may also suspend or discontinue any part of the Service at any time without notice.

5. User Content and Conduct

5.1 Content Ownership

You retain all rights to your Content. By uploading or sharing Content through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your Content in connection with providing and improving the Service.

5.2 Content Restrictions

You agree not to upload, share, or create Content that:

  • Violates any applicable law or regulation
  • Infringes on the intellectual property rights of others
  • Contains malicious code, viruses, or harmful data
  • Is deceptive, fraudulent, or misleading
  • Is defamatory, obscene, pornographic, or offensive
  • Promotes discrimination, bigotry, racism, or harm against any individual or group
  • Is violent or threatening, or promotes violence or actions that threaten any person or entity
  • Exploits or harms minors

5.3 Conduct Restrictions

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or other systems or networks connected to the Service
  • Use any robot, spider, or other automated device to access the Service
  • Collect or harvest any information from the Service, including user accounts
  • Create multiple accounts for disruptive or abusive purposes
  • Use the Service in a manner that exceeds reasonable usage limits, as determined by us

6. Intellectual Property Rights

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Bit Complete, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bit Complete, Inc.

7. API Keys and Security

The Service may allow you to create and manage API keys for accessing the Service programmatically. You are responsible for maintaining the security of your API keys and any actions taken using those keys. Do not share your API keys with unauthorized parties.

We reserve the right to revoke API keys at any time if we detect misuse or if we believe it is necessary to protect the Service or other users.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Bit Complete, Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Subscription and Payment

Some aspects of the Service may be offered on a subscription basis. By subscribing to the Service, you agree to pay the applicable fees as they become due. We may change the fees for the Service at any time, but will provide notice of any fee changes before they take effect.

Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Limitation of Liability

In no event shall Bit Complete, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Bit Complete, Inc., its subsidiaries, affiliates, and licensors do not warrant that (i) the Service will function uninterrupted, secure, or available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the Service is free of viruses or other harmful components; or (iv) the results of using the Service will meet your requirements.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
